Terms of Service

1. Agreement to these terms

These Terms of Service (the “Terms”) are an agreement between you and Westlabs LLC (“FluentDB,” “we,” “us,” or “our”), 704 Wallace Street, Clovis, New Mexico 88101, United States. By downloading, installing, purchasing, or using the FluentDB application (the “Software”) or our website, you agree to these Terms. If you do not agree, do not use the Software.

2. License grant

Subject to these Terms and your payment of the applicable fee, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Software for personal or business purposes on the number of Macs permitted by the plan you purchased:

• Basic: activation on 1 Mac.
• Pro: activation on up to 3 Macs.
• Team Seat: a pool of seats, one per teammate, reassignable from your admin dashboard.

Your license does not expire. Activation is required, and you may move a license between Macs by deactivating one machine and activating another.

3. Updates

Bug fixes and minor improvements are free for the life of your license. Major versions (new feature releases) require an active updates window; the first year of updates is included with every license. If offered, an extension of your updates window is a separate, optional purchase. Your existing version keeps working whether or not you extend.

4. What you may not do

You agree not to:

• Resell, sublicense, rent, lease, or redistribute the Software or your license key, except as expressly permitted for Team Seat reassignment.
• Copy, modify, or create derivative works of the Software, or reverse engineer, decompile, or disassemble it, except to the extent this restriction is prohibited by applicable law.
• Remove or alter any proprietary notices in the Software.
• Circumvent or tamper with license activation or usage limits, or use the Software to build a competing product.
• Use the Software for any unlawful purpose.

5. Ownership

The Software is licensed, not sold. Westlabs LLC and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. These Terms grant you no rights other than the license expressly described above.

6. Your data and third-party services

You are solely responsible for the databases and data you access with the Software, and for ensuring you are authorized to connect to them. AI features rely on a third-party provider that you configure with your own API key; your use of that provider is subject to its terms, and you are responsible for what you choose to send it. Features such as read-only mode and manual approval are safeguards to help prevent mistakes, they are aids, not guarantees. Always keep your own backups and review any query, including AI-generated ones, before running it.

7. Payment, taxes, and refunds

Prices are shown on our website and are one-time payments, there is no subscription and nothing auto-renews. Payments are processed by Stripe, which issues a tax-compliant invoice, including any applicable VAT or sales tax for your region. You are responsible for any taxes not collected at checkout. We offer a 14-day refund, no questions asked, just email support@fluentdb.ai.

8. Disclaimer of warranties

The Software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or that it will meet your requirements. You are responsible for your use of the Software and for maintaining backups of your data. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

9. Limitation of liability

To the maximum extent permitted by law, Westlabs LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to the Software or these Terms, even if advised of the possibility of such damages. Our total liability for any claim will not exceed the amount you paid for the Software in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Termination

This license terminates automatically if you materially breach these Terms. On termination, you must stop using the Software and delete all copies. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

11. Governing law

These Terms are governed by the laws of the State of New Mexico and the United States, without regard to conflict-of-law rules. You agree that the state and federal courts located in New Mexico will have exclusive jurisdiction over any dispute arising out of these Terms, subject to any mandatory consumer-protection rights you may have in your country of residence.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Software after a change takes effect constitutes acceptance of the updated Terms.
